PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING ASSESSMATE. BY CREATING AN ACCOUNT OR USING THE SERVICE IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Parties and Acceptance
1.1 These Terms of Service ("Terms") form a legally binding agreement between you ("User," "you," or "your") and Abdul Aziz Shah, doing business as Zenen Digital ("we," "us," "our," or "Operator"), the individual operator of Assessmate, accessible at https://assessmateai.com ("Service" or "Platform").
1.2 By registering for, accessing, or using the Service — whether on a free or paid plan — you confirm that you have read and agree to these Terms, our Privacy Policy, our Refund Policy, and our Fair Use & Acceptable Use Policy, all of which are incorporated into these Terms by reference.
1.3 We reserve the right to update or modify these Terms at any time. Changes become effective when posted to the website with an updated "Last Updated" date. We will make reasonable efforts to notify you of material changes (e.g., via email or an in-app notice). Your continued use of the Service after any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
2. Description of Service
2.1 Assessmate is an AI-powered quiz and assessment generation platform. It enables users — including teachers, students, content creators, trainers, and businesses — to automatically generate quizzes, tests, and assessments from uploaded content such as PDFs, Word documents, images, URLs, and plain text.
2.2 The Service is offered under both a free tier and paid subscription plans, as described on our pricing page (https://assessmateai.com/pricing). Features, limits, and availability of plans may change at any time.
2.3 We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time, with or without notice, and without liability to you or any third party.
3. Eligibility
3.1 You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the applicable age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian, who agrees to these Terms on your behalf.
3.2 By using the Service, you represent and warrant that: (a) you are of legal age to form a binding contract in your jurisdiction; (b) your use of the Service will not violate any applicable law or regulation; and (c) all information you provide to us is accurate, current, and complete.
3.3 We reserve the right to refuse access to any user for any reason, including users who have previously violated these Terms.
4. Accounts
4.1 Registration. To access most features of the Service, you must create an account by providing accurate, complete, and current information. You agree to promptly update this information as necessary to keep it accurate.
4.2 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately via our contact form if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.
4.3 One Account Per User. Each person may maintain only one account. Creating multiple accounts to circumvent usage limits, abuse the free plan, or obtain additional free credits is strictly prohibited and may result in immediate termination of all associated accounts.
4.4 No Automated Access. You must use your account manually. Use of the Service through bots, scripts, crawlers, scrapers, or other automated or non-human means is strictly prohibited without our prior written consent.
5. Subscription Plans and Payments
5.1 Paddle as Merchant of Record
All payments for paid subscription plans are processed by Paddle.com ("Paddle"), which acts as the Merchant of Record for all transactions on the Service. This means that when you purchase a paid plan, you are purchasing from Paddle, which resells our Service to you as an authorized reseller on our behalf. Paddle is responsible for:
- Collecting and processing all payment information (credit/debit cards, PayPal, and other supported methods);
- Issuing invoices, receipts, and billing notifications;
- Calculating, collecting, and remitting all applicable taxes, including VAT, GST, and sales tax, in accordance with applicable law;
- Managing payment compliance, fraud prevention, and security.
Your full payment details (e.g., card numbers) are collected and stored securely by Paddle and are never accessible to us. By purchasing a plan, you also agree to Paddle's Buyer Terms of Service and Privacy Policy, available at paddle.com/legal/checkout-buyer-terms.
5.2 Subscription Plans
Available plans, their features, and pricing are described on our pricing page at https://assessmateai.com/pricing. We reserve the right to change the features, limits, and pricing of any plan at any time.
5.3 Billing and Renewal
Subscriptions are billed on a recurring basis — monthly or annually, depending on the plan you select — starting from the date of your initial payment. Paddle will automatically charge your saved payment method at the start of each new billing period unless you cancel before the renewal date.
5.4 Free Plans
Free-tier accounts do not require payment but are subject to usage limits as described on the pricing page. We reserve the right to modify, restrict, or discontinue the free plan at any time without notice or liability.
5.5 Usage Limits and Fair Use
Paid plans that include "unlimited" assessment or quiz generation are subject to our Fair Use & Acceptable Use Policy, which is incorporated into these Terms by reference and available at https://assessmateai.com/acceptable-use. "Unlimited" means individual, human-initiated usage within reasonable bounds — not automated bulk generation, account pooling, or other abusive patterns described in that Policy.
To maintain a high-quality experience for all users, the Service may apply dynamic rate limiting and fair-use enforcement. Generating an unusually high volume of quizzes in a manner that disrupts the normal operation of the platform, or any use that we determine to be excessive or abusive, is strictly prohibited. We reserve the right to throttle, suspend, or terminate accounts that violate our Acceptable Use Policy without notice.
5.6 Price Changes
We reserve the right to adjust subscription pricing at any time. We will provide advance notice of price increases via email or an in-app notice. Your continued use of a paid plan after the effective date of a price change constitutes your acceptance of the new price.
6. Cancellation
6.1 You may cancel your subscription at any time through your account settings or by contacting us via our contact form at https://assessmateai.com/contact.
6.2 Cancellation takes effect at the end of your current paid billing period. You will retain access to paid features until the end of that period, after which your account will revert to the free plan (if available) or be deactivated. We do not issue partial refunds for unused time in a billing period except as specified in our Refund Policy.
6.3 Cancelling your subscription does not automatically delete your account or Your Content. You may request account deletion separately.
7. Refund Policy
Our Refund Policy is set out in full as a separate document, available at https://assessmateai.com/refund-policy.
The Refund Policy is incorporated into these Terms by reference and forms part of the agreement between you and us. By using the Service and making a purchase, you confirm that you have read and agree to the Refund Policy.
In summary: we offer a full refund within seven (7) days of a payment, provided you have generated fewer than five (5) assessments since that payment. Full eligibility conditions, non-refundable circumstances, EU statutory withdrawal rights, and chargeback guidance are set out in the standalone Refund Policy page linked above.
All refunds are processed by Paddle as Merchant of Record. Paddle also maintains independent refund rights as described in the Refund Policy.
8. Content and Intellectual Property
8.1 Your Content. You retain full ownership of all content you upload to the Service ("Your Content"), including documents, PDFs, URLs, text, images, audio, and any other materials you provide. You also retain ownership of the quizzes and assessments generated by the AI using Your Content, provided you hold the necessary rights to the underlying uploaded material.
8.2 License Grant to Us. By uploading Your Content, you grant us a limited, non-exclusive, worldwide, royalty-free, sublicensable license to access, store, process, reproduce, and use Your Content solely for the purpose of operating the Service, generating assessments, and providing you with the requested outputs. This license terminates when you delete Your Content or close your account, subject to any retention we are required to maintain by law or for security purposes.
8.3 File Handling. Original files you upload (e.g., PDFs, images) are automatically deleted from our servers after text extraction is complete. Extracted text may be retained in our systems to support the generation of assessments and related service features, as described in our Privacy Policy.
8.4 Commercial Use of Generated Content. Quizzes and assessments you generate using Your Content may be used for personal or professional purposes, including commercial redistribution, provided that you hold all necessary rights to the underlying content you uploaded. We do not claim any ownership rights over generated outputs.
8.5 Our Intellectual Property. All elements of the Service not constituting Your Content — including the software, platform design, user interface, algorithms, trademarks, logos, and content created by us — are the sole and exclusive property of Abdul Aziz Shah, doing business as Zenen Digital, or are licensed to us. Nothing in these Terms transfers any ownership of our intellectual property to you. You may not copy, reproduce, modify, distribute, reverse engineer, decompile, or create derivative works from any part of the Service without our prior written consent.
8.6 Content Warranties. You represent and warrant that Your Content: (a) does not infringe any copyright, trademark, patent, or other intellectual property right of any third party; (b) does not contain personally identifiable information of others without their consent; (c) complies with all applicable laws; and (d) does not constitute prohibited content as described in Section 9.
8.7 Copyright Complaints. If you believe that content on the Service infringes your copyright, please notify us via our contact form with a description of the alleged infringement, the URL or location of the infringing content, and your contact information.
9. Prohibited Activities and Content
9.1 You agree not to use the Service to:
- Upload, generate, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, sexually explicit, or otherwise objectionable;
- Upload content that infringes or violates any third-party intellectual property, privacy, or other rights;
- Upload content containing personally identifiable information of third parties without their explicit consent;
- Generate assessments intended to defraud, deceive, or mislead any person or organization;
- Use the Service outputs for academic dishonesty, plagiarism, or any purpose that violates institutional integrity policies;
- Attempt to gain unauthorized access to the Service, other user accounts, our servers, or any related systems or networks;
- Use the Service to develop, benchmark, or improve a competing AI-powered service, or to train or fine-tune AI models;
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of any part of the Service;
- Use the Service for any illegal purpose or in violation of any applicable local, national, or international law or regulation;
- Transmit malware, viruses, ransomware, or any other malicious code;
- Use the Service to send unsolicited commercial messages or spam;
- Impersonate any person, entity, or organization;
- Circumvent, disable, or interfere with any access controls, security features, or usage limits of the Service;
- Engage in any activity that places an unreasonable or disproportionate load on our infrastructure or disrupts the experience of other users.
9.2 We reserve the right to investigate suspected violations and, at our sole discretion, to suspend or permanently terminate any account found to be in violation of these prohibitions, without prior notice and without liability.
10. Accuracy of AI-Generated Content
10.1 The Service uses artificial intelligence and large language model technology to generate quiz questions, assessments, and related content. While we aim to provide high-quality outputs, AI-generated content is inherently probabilistic and may contain inaccuracies, errors, hallucinations, or content that is incomplete or unsuitable for your specific purpose.
10.2 We make no representations or warranties, express or implied, regarding the accuracy, correctness, reliability, completeness, or fitness for any particular purpose of any AI-generated output.
10.3 You are solely responsible for reviewing, verifying, correcting, and editing all AI-generated content before using it in any educational, professional, commercial, examination, or other context. We strongly recommend that all generated content be reviewed by a qualified subject matter expert prior to distribution or deployment.
10.4 We disclaim all liability for any loss, damage, or harm arising from reliance on AI-generated content without independent verification.
11. Third-Party Services
11.1 The Service integrates with or relies on third-party services, including Paddle (payment processing), cloud infrastructure providers, and AI model providers. These third-party services are governed by their own terms and privacy policies, and we are not responsible for their performance, availability, practices, or content.
11.2 The Service may contain links to third-party websites. These links are provided for informational purposes only. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites.
11.3 We are not liable for any interruption, loss, or damage caused by the failure, unavailability, or misconduct of any third-party service.
12. Service Availability
12.1 We strive to maintain high availability of the Service but do not guarantee that the Service will be available at all times or free from errors, interruptions, or technical issues. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, third-party failures, or other factors outside our control.
12.2 We are not liable for any loss or inconvenience caused by temporary unavailability of the Service.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS; (C) ANY WARRANTY REGARDING THE QUALITY, ACCURACY, OR RELIABILITY OF INFORMATION OBTAINED THROUGH THE SERVICE; AND (D) ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
14. Limitation of Liability
14.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SUCCESSORS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, YOUR CONTENT, OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US (VIA PADDLE) IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY US DOLLARS (USD $50).
14.3 THE FOREGOING LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND ANY OTHER LEGAL OR EQUITABLE THEORY.
14.4 SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. TO THE EXTENT SUCH EXCLUSIONS ARE NOT PERMITTED UNDER APPLICABLE LAW, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT ALLOWED BY LAW.
15. Indemnification
You agree to indemnify, defend, and hold harmless Abdul Aziz Shah (doing business as Zenen Digital), and any affiliated persons, employees, contractors, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any claim by a third party relating to your use of the Service.
16. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
17. Children's Privacy
The Service is not directed to or intended for children under the age of 13 (or 16 in certain jurisdictions, including the European Union). We do not knowingly collect personal information from children under these ages. If we learn that we have inadvertently collected personal information from a child under the applicable minimum age without verifiable parental consent, we will take steps to delete that information as promptly as possible. If you believe a child has provided us with personal information, please contact us immediately via our contact form.
18. Governing Law and Dispute Resolution
18.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
18.2 EU Users: If you are a consumer habitually residing in the European Union, you retain any mandatory consumer protection rights provided under the laws of your country of residence, which these Terms do not override.
18.3 We encourage you to contact us via our contact form to resolve any disputes informally. If a dispute cannot be resolved informally, both parties agree to submit to the exclusive jurisdiction of the competent courts of India.
18.4 You and we both waive any right to a class-action lawsuit or class-wide arbitration.
19. General Provisions
19.1 Entire Agreement. These Terms, together with our Privacy Policy, Refund Policy, Fair Use & Acceptable Use Policy, and any other policies or agreements incorporated herein, constitute the entire agreement between you and us regarding the Service, and supersede all prior and contemporaneous agreements, representations, and understandings.
19.2 Severability. If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary or eliminated, and the remaining provisions will remain in full force and effect.
19.3 No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
19.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
19.5 Force Majeure. We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, acts of government, internet or power outages, or third-party service failures.
19.6 Notices. Notices from you to us must be sent via our contact form. We may provide notices to you via email at the address associated with your account or by posting a notice on the Service.
